Online Dating Assistant LLC THIS PAYMENT AND RETAINER AGREEMENT
(the "Agreement") made this between Online Dating Assistant LLC ("the Company") and (the "Client").
1. The Client hereby retains the Company to act on his or her behalf for the purposes of creating a user profile for the client on various dating websites and communicating with any and all potential matches on the client's behalf, that meet the pre-determined criteria of the Client, pursuant to the terms and conditions of the Terms of Use Agreement. Photo identification is required when services are rendered before payment is submitted.
2. The Client hereby acknowledges and agrees that upon the Company accepting to provide its Services to the Client, and the Client accepting to receive the Services from the Company, the Client shall pay to the Company the sum of One Hundred ($100.00) U.S. Dollars as a non-refundable retainer fee (the "Retainer") by way of cash, certified check, money order, wire transfer, credit card or direct deposit, upon execution of this Agreement with the Classic Package or Half Way There package.
3. Upon the Company commencing the Services for the Client, the Client hereby acknowledges and agrees to pay to the Company for any and all work and Services performed by the Company on the Client's behalf, the sum of services as followed:
Online Dating Advice (via phone or messenger) - $20/hr
Profile Creation (includes image consulting up to 10 images and editing for 3 online dating profiles) - $50
Image Consulting and Editing (up to 5 photos) -$20
E-mail Templates (3 different templates) -$35
Match Search (delivering 25 qualified matches per week) -$20/wk
Online Dating Advice (via phone or messenger) - $20/hr
Date Delivery (Classic Package) - $320/month
One hour of date coaching per week

Phone Number Delivery (Half Way There Package) - $210/month

4. The Company shall invoice the Client for any and all Services performed by the Company on the Client's behalf on a weekly or monthly basis. The Company shall deliver a weekly or monthly invoice to the Client by way of electronic mail to the Client's email address as referenced above. Such weekly or monthly invoice shall be delivered to the Client by way of electronic mail by no later than five (5) business days by 5 p.m CST.
5. The Client hereby acknowledges and agrees to pay any and all amounts due and owing to the Company under such invoices within Five (5) days of receipt of same.
6. The Client hereby acknowledges and agrees that any and all amounts due and owing to the Company under any invoice rendered by the Company to the Client, that remains unpaid for a period exceeding Thirty (30) days, shall be subject to interest at the rate of Five (5%) per month.
7. The Client hereby acknowledges and agrees that the Client will reimburse the Company for its reasonable out-of-pocket expenses incurred for collection of any unpaid amounts owing to the Company and any and all reasonable expenses incurred by the Company.
8. The Client hereby acknowledges and agrees that failure to pay any and all amounts due and owing to the Company for a period that exceeds Five (5) days, will result in suspension and/or cancellation of the Services provided by the Company to the Client.
9. The Company hereby acknowledges and agrees that it will not share any of the Client's financial information with any third parties, except as necessary to process the Client's payment. By the Client providing his or her credit card details to the Company, the Client hereby consents to and authorizes the Company to provide his or her credit card details to such credit card processors and financial institutions as are necessary to process the Client's payment.
10. The Company hereby guarantees to the Client that should the Company not have two (2) dates arranged with potential matches for the Client for the current month ("current month" hereinafter defined as a typical calendar month from the 1st day of the month through to and including the 31st day of the month) under the Company's Classic Package, then the Company shall refund to the Client all hourly fees incurred by the Client for that current month only.
11. The Company hereby guarantees to the Client that should the Company not have four (4) email addresses or 4 (4) telephone numbers from potential matches for the Client for the current month under the Company's Half-Way There Package, then the Company shall refund to the Client all hourly fees incurred by the Client for that current monthly only.
12. The Client and the Company hereby acknowledge and agree that should a Client wish to discontinue the Services of the Company at any time, the Client may do so by providing written notification of such wish to discontinue the Services to the Company.
13. The Company, upon receiving such written notification from the Client to discontinue the Services, shall pro-rate any refund that may be due and owing to the Client for the current month, should the Client wish to discontinue the Services of the Company in the middle of the current month.
